The British Airways Corporate Card - Terms and Conditions

MasterCard The Authorizing Officer(s) identified on the reverse and the Company hereby

(i) request that First USA Financial Services, Inc. ("FUSA") establish a British Airways Corporate Card Account in the name of the company (the "Account") and request that credit card(s) ("Card(s)") be issued on the Account to all persons identified on this Application (or subsequently identified by an Aurhorizing Officer) to receive a Card:

(ii) agree to be bound by the terms and conditions of the Cardmember Agreement mailed with the Card(s), as well all of the terms of this Application;

(iii) acknowledge and agree that the Account and all Cards and Cash Advance Checks issued under the Account will be used solely for business and commercial purposes and not for personal, family or household purposes;

(iv) agree that the Company and each Authorizing Officer will be liable, jointly and severally for all transactions made with all Cards and Cash Advance Checks issued under the Account and all other sums otherwise due on the Account;

(v) authorize the receipt and exchange of credit information on both the Company and each Authorizing Office and the receipt exchange of such information between FUSA, British Airways and all their affiliates; and

(vi) represent that all of the information on this Application is true and complete and that the Authorizing Officer(s) are authorized to act on behalf of the Company.

Anyone issued a Card who is not an Authorizing Officer will be liable for transactions made with that Card (or charges otherwise made to that sub-account). FUSA may change the terms of the Account, including fees and charges, or the terms of the Cardmember Agreement at any time. In addition, FUSA may at any time terminate the Account relationship or the charge privileges of any individual to whom a Card is Issued. The person(s) signing on the reverse side is/are the Authorized Officer(s). Each is signing individually and on behalf of the company. The Authorizing Officer(s) must include a President/Chairman, Vice President, Treasurer, Principal Owner, Partner or Member/Manager, as applicable. If the Company is a partnership, all general partners must sign as Authorizing Officers. If the Company is a limited liability company, all Members and Managers must sign. The person named on the first line under "Signature and Authorization" on the reverse side will be the contact to receive statements, reports and notices (subject to change at the direction of an Authorizing Officer(s). If there are more than two Authorizing Officers, please use additional copies of the form on the reverse side for signatures. The credit terms given above were printed October 15, 1997 and were accurate as of that date. The credit information is subject to change after the printing date.
